Welcome to Spind (the “Site”, “we”, “us”, or “our”). By accessing or using the Site (https://www.spind.com.my/) and submitting product quote requests via our contact form, you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree with any part of the Terms, you must not use the Site.

1. Use of the Site

1.1 You agree to use the Site only for lawful purposes and in a way consistent with all applicable laws and regulations.
1.2 You must not misuse our contact form or attempt to access parts of the Site, server, or database that you are not authorised to access.

2. Product Information & Quotations

2.1 All product listings, descriptions, images, dimensions, specifications, and pricing on the Site are for reference only. We do not guarantee their accuracy, completeness, or that they are free of errors or omissions.
2.2 The Site does not provide an automatic checkout or online payment facility. All orders are processed by way of a quotation request submitted via our contact form.
2.3 Upon receipt of your quote request, we will evaluate and verify the details (e.g. availability, shipping, etc.) and respond with a formal quotation (price, delivery terms, etc.).
2.4 The provision of a quotation does not constitute acceptance of your order. A binding contract is formed only when we issue a written order confirmation after the quotation is accepted by you under the stated terms.

3. Prices & Payment

3.1 All quoted prices are in Malaysian Ringgit (MYR), unless otherwise stated, and are subject to applicable taxes (e.g. SST) and delivery charges, unless explicitly stated otherwise.
3.2 Payment method(s) accepted will be specified in the quotation or order confirmation (e.g. bank transfer, cheque, etc.).
3.3 You must make payment within the timeframe specified in our order confirmation. Failure to pay within that timeframe may entitle us to cancel the order or charge interest / late fees on overdue amounts, as permitted by law.

4. Delivery, Risk & Title

4.1 Delivery terms (method, cost, timeline) will be detailed in the quotation or order confirmation.
4.2 Risk of loss or damage of goods passes to you once the goods are delivered to the shipping address or handed over to the courier/carrier.
4.3 Ownership (title) of the goods remains with us until full payment (including any taxes and charges) is received.

5. Returns, Refunds & Claims

5.1 Because goods are made or supplied to your specifications or as per the quotation, we may not accept returns unless there is a defect or quality issue.
5.2 You must inspect the goods upon receipt and notify us in writing of any damage, defect, shortage, or other issue within [e.g. 7] days.
5.3 We reserve the right to reject claims made after the deadline or accept them subject to inspection.
5.4 If a valid claim is accepted, we may, at our option, repair, replace, or refund the defective goods, less shipping costs incurred, in a manner consistent with your prior agreement.

6. Intellectual Property

6.1 All content on the Site (text, images, logos, designs, graphics) is owned or licensed by us and is protected by copyright, trademarks, and other intellectual property laws.
6.2 You may view, download, or print material from the Site for your own reference and noncommercial use only. You must not reproduce, publish, distribute, or create derivative works without our prior written consent.

7. Limitation of Liability / Disclaimer

7.1 To the maximum extent permitted by law, we disclaim all warranties (express or implied), including fitness for purpose, merchantability, or noninfringement.
7.2 We will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or the goods, even if we have been advised of the possibility of such damages.
7.3 Our total liability to you in respect of all claims arising under or in connection with these Terms shall not exceed the total amount you paid under the relevant order.

8. Indemnity

You agree to indemnify, defend, and hold harmless Spind, its officers, directors, agents, employees, and affiliates from and against any claims, liabilities, losses, damages, costs, or expenses (including lawyers’ fees) arising from your use of the Site or breach of these Terms.

9. Changes to Terms

We may revise or update these Terms from time to time. The updated Terms will be effective when posted on the Site, and your continued use following that constitutes acceptance of those changes.

10. Severability & Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision shall not be deemed a waiver of that provision or of the rights to enforce it later.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or relating to these Terms or your use of the Site shall be subject to the non-exclusive jurisdiction of the courts of Malaysia.
